These Terms of Service (“Terms”) govern your access to and use of the website, applications, AI-driven data infrastructure, subscription services, APIs, dashboards, and the Virdato utility token ecosystem (collectively, the “Services”) operated by AI Vault Systems Inc., a company organized under the laws of the State of Delaware, United States (“Company,” “we,” “us,” or “our”).

By accessing or using the Services, you agree to be legally bound by these Terms.

If you do not agree, you must discontinue use immediately.

1. Nature of Services

AI Vault System Inc provides:

  • AI-driven engagement analytics and data infrastructure
  • Subscription-based access to digital tools and dashboards
  • API integrations
  • Blockchain-based digital utility token functionality (“Virdato”)

Virdato is designed solely for functional utility within the AI Vault Tech ecosystem.

2. Utility Token Regulatory Disclosure

Virdato is a digital utility token intended for access, engagement, and ecosystem functionality.

Virdato:

  • Does NOT represent equity, ownership, shares, or securities
  • Does NOT provide dividend rights or profit participation
  • Does NOT grant governance or voting rights in AI Vault Tech
  • Is NOT offered as an investment contract
  • Is NOT intended to generate financial return

No statements on the platform should be interpreted as an offer of securities.

Users acknowledge that Virdato is acquired for consumptive use within the ecosystem.

3. EU Regulatory Positioning (MiCA-Aware Disclosure)

For users in the European Union:

Virdato is structured as a utility token intended to provide digital access to services.

It is not an asset-referenced token (ART) or e-money token (EMT) under Regulation (EU) 2023/1114 (MiCA).

AI Vault Tech does not promise price stability, redemption rights, or financial yield.

Users are responsible for ensuring compliance with local digital asset regulations in their Member State.

4. No Investment, Speculation, or Expectation of Profit

You expressly acknowledge:

  • There is no expectation of profit from holding Virdato.
  • Any perceived market value is external and not controlled by AI Vault Tech.
  • AI Vault Systems Inc does not manage secondary markets.
  • Token value may be volatile or decline to zero.

You assume full economic risk.

5. Delaware Corporate Shield

AI Vault System Inc is a Delaware-registered company.

To the maximum extent permitted by law:

  • No officer, director, employee, contractor, or affiliate shall be personally liable.
  • All claims must be brought solely against the Company entity.
  • Liability is limited as described in Section 14 below.

6. Eligibility & Jurisdiction Restrictions

You represent that:

  • You are at least 18 years old.
  • You are not located in a sanctioned jurisdiction.
  • You are not listed on U.S. OFAC, EU sanctions lists, or other restricted party lists.
  • You are not using the Services in violation of local law.

We reserve the right to restrict access in high-risk jurisdictions.

7. Wallet & Blockchain Responsibility

You are solely responsible for:

  • Securing your private keys and seed phrases
  • Verifying transaction accuracy
  • Ensuring compatibility with supported networks

AI Vault Tech:

  • Does not custody digital assets
  • Cannot reverse blockchain transactions
  • Is not liable for wallet compromise

Blockchain interactions are irreversible.

8. Anti-Fraud & Ecosystem Integrity

To protect platform integrity, we may:

  • Monitor engagement patterns
  • Detect automated abuse
  • Suspend fraudulent accounts
  • Adjust reward mechanisms

We reserve the right to withhold or revoke token rewards obtained through manipulation.

9. Subscription & Payments

If subscription tiers are offered:

  • Fees are disclosed at purchase
  • Payments are non-refundable unless required by law
  • Access may be suspended for non-payment

10. Intellectual Property

All AI models, infrastructure architecture, smart contract frameworks, branding, software code, and ecosystem design are the exclusive intellectual property of AI Vault Systems Inc.

Unauthorized copying, resale, or reverse engineering is prohibited.

11. Data & Security Governance

Use of Services is subject to:

  • Privacy Policy
  • Cookie Policy
  • Security Policy

We implement layered infrastructure security but do not guarantee uninterrupted or error-free operation.

12. Risk Disclosure

You acknowledge risks including:

  • Smart contract vulnerabilities
  • Regulatory changes
  • Blockchain network congestion
  • Technology failures
  • Cybersecurity threats
  • Market volatility

You assume all risks associated with digital asset usage.

13. Indemnification

You agree to indemnify and hold harmless AI Vault Systems Inc and its officers, directors, employees, and affiliates from claims arising from:

  • Your misuse of the Services
  • Violation of these Terms
  • Violation of applicable law
  • Regulatory action caused by your conduct

14. Limitation of Liability

To the fullest extent permitted by law:

AI Vault Systems Inc shall not be liable for:

  • Indirect, incidental, or consequential damages
  • Loss of digital assets
  • Loss of profits
  • Network failures
  • Third-party exchange losses

Total liability shall not exceed the greater of:

  • The amount paid by you in the prior 12 months, or
  • $100 USD

15. Arbitration & Class Action Waiver

Any dispute arising from these Terms shall be resolved through binding arbitration in the State of Delaware, United States.

You waive the right to:

  • Jury trial
  • Class action lawsuits
  • Collective proceedings

If arbitration is unenforceable in your jurisdiction, disputes shall be resolved in Delaware courts.

16. Regulatory Cooperation

AI Vault Systems Inc reserves the right to:

  • Cooperate with regulatory authorities
  • Provide information if legally required
  • Restrict access to ensure compliance

Users are responsible for their own tax reporting and regulatory obligations.

17. Termination

We may suspend or terminate access if:

  • Fraud is detected
  • Regulatory risk arises
  • Terms are violated

Termination does not affect accrued rights or liabilities.

18. Modifications

We may update these Terms at any time.

Continued use constitutes acceptance of revised Terms.

19. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles.
