Nature of Services<\/h1>\n\n\n\n<p>AI Vault System Inc provides:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>AI-driven engagement analytics and data infrastructure<\/li>\n\n\n\n<li>Subscription-based access to digital tools and dashboards<\/li>\n\n\n\n<li>API integrations<\/li>\n\n\n\n<li>Blockchain-based digital utility token functionality (\u201cVirdato\u201d)<\/li>\n<\/ul>\n\n\n\n<p>Virdato is designed solely for functional utility within the AI Vault Tech ecosystem.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h1 class=\"wp-block-heading\">2. Utility Token Regulatory Disclosure<\/h1>\n\n\n\n<p>Virdato is a&nbsp;<strong>digital utility token<\/strong>&nbsp;intended for access, engagement, and ecosystem functionality.<\/p>\n\n\n\n<p>Virdato:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Does NOT represent equity, ownership, shares, or securities<\/li>\n\n\n\n<li>Does NOT provide dividend rights or profit participation<\/li>\n\n\n\n<li>Does NOT grant governance or voting rights in AI Vault Tech<\/li>\n\n\n\n<li>Is NOT offered as an investment contract<\/li>\n\n\n\n<li>Is NOT intended to generate financial return<\/li>\n<\/ul>\n\n\n\n<p>No statements on the platform should be interpreted as an offer of securities.<\/p>\n\n\n\n<p>Users acknowledge that Virdato is acquired for consumptive use within the ecosystem.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h1 class=\"wp-block-heading\">3. EU Regulatory Positioning (MiCA-Aware Disclosure)<\/h1>\n\n\n\n<p>For users in the European Union:<\/p>\n\n\n\n<p>Virdato is structured as a utility token intended to provide digital access to services.<\/p>\n\n\n\n<p>It is not an asset-referenced token (ART) or e-money token (EMT) under Regulation (EU) 2023\/1114 (MiCA).<\/p>\n\n\n\n<p>AI Vault Tech does not promise price stability, redemption rights, or financial yield.<\/p>\n\n\n\n<p>Users are responsible for ensuring compliance with local digital asset regulations in their Member State.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h1 class=\"wp-block-heading\">4. No Investment, Speculation, or Expectation of Profit<\/h1>\n\n\n\n<p>You expressly acknowledge:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>There is no expectation of profit from holding Virdato.<\/li>\n\n\n\n<li>Any perceived market value is external and not controlled by AI Vault Tech.<\/li>\n\n\n\n<li>AI Vault Systems Inc does not manage secondary markets.<\/li>\n\n\n\n<li>Token value may be volatile or decline to zero.<\/li>\n<\/ul>\n\n\n\n<p>You assume full economic risk.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h1 class=\"wp-block-heading\">5. Delaware Corporate Shield<\/h1>\n\n\n\n<p>AI Vault System Inc is a Delaware-registered company.<\/p>\n\n\n\n<p>To the maximum extent permitted by law:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>No officer, director, employee, contractor, or affiliate shall be personally liable.<\/li>\n\n\n\n<li>All claims must be brought solely against the Company entity.<\/li>\n\n\n\n<li>Liability is limited as described in Section 14 below.<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h1 class=\"wp-block-heading\">6. Eligibility &amp; Jurisdiction Restrictions<\/h1>\n\n\n\n<p>You represent that:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>You are at least 18 years old.<\/li>\n\n\n\n<li>You are not located in a sanctioned jurisdiction.<\/li>\n\n\n\n<li>You are not listed on U.S. OFAC, EU sanctions lists, or other restricted party lists.<\/li>\n\n\n\n<li>You are not using the Services in violation of local law.<\/li>\n<\/ul>\n\n\n\n<p>We reserve the right to restrict access in high-risk jurisdictions.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h1 class=\"wp-block-heading\">7. Wallet &amp; Blockchain Responsibility<\/h1>\n\n\n\n<p>You are solely responsible for:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Securing your private keys and seed phrases<\/li>\n\n\n\n<li>Verifying transaction accuracy<\/li>\n\n\n\n<li>Ensuring compatibility with supported networks<\/li>\n<\/ul>\n\n\n\n<p>AI Vault Tech:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Does not custody digital assets<\/li>\n\n\n\n<li>Cannot reverse blockchain transactions<\/li>\n\n\n\n<li>Is not liable for wallet compromise<\/li>\n<\/ul>\n\n\n\n<p>Blockchain interactions are irreversible.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h1 class=\"wp-block-heading\">8. Anti-Fraud &amp; Ecosystem Integrity<\/h1>\n\n\n\n<p>To protect platform integrity, we may:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Monitor engagement patterns<\/li>\n\n\n\n<li>Detect automated abuse<\/li>\n\n\n\n<li>Suspend fraudulent accounts<\/li>\n\n\n\n<li>Adjust reward mechanisms<\/li>\n<\/ul>\n\n\n\n<p>We reserve the right to withhold or revoke token rewards obtained through manipulation.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h1 class=\"wp-block-heading\">9. Subscription &amp; Payments<\/h1>\n\n\n\n<p>If subscription tiers are offered:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Fees are disclosed at purchase<\/li>\n\n\n\n<li>Payments are non-refundable unless required by law<\/li>\n\n\n\n<li>Access may be suspended for non-payment<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h1 class=\"wp-block-heading\">10. Intellectual Property<\/h1>\n\n\n\n<p>All AI models, infrastructure architecture, smart contract frameworks, branding, software code, and ecosystem design are the exclusive intellectual property of AI Vault Systems Inc.<\/p>\n\n\n\n<p>Unauthorized copying, resale, or reverse engineering is prohibited.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h1 class=\"wp-block-heading\">11. Data &amp; Security Governance<\/h1>\n\n\n\n<p>Use of Services is subject to:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Privacybeleid<\/li>\n\n\n\n<li>Cookiebeleid<\/li>\n\n\n\n<li>Security Policy<\/li>\n<\/ul>\n\n\n\n<p>We implement layered infrastructure security but do not guarantee uninterrupted or error-free operation.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h1 class=\"wp-block-heading\">12. Risk Disclosure<\/h1>\n\n\n\n<p>You acknowledge risks including:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Smart contract vulnerabilities<\/li>\n\n\n\n<li>Regulatory changes<\/li>\n\n\n\n<li>Blockchain network congestion<\/li>\n\n\n\n<li>Technology failures<\/li>\n\n\n\n<li>Cybersecurity threats<\/li>\n\n\n\n<li>Market volatility<\/li>\n<\/ul>\n\n\n\n<p>You assume all risks associated with digital asset usage.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h1 class=\"wp-block-heading\">13. Indemnification<\/h1>\n\n\n\n<p>You agree to indemnify and hold harmless AI Vault Systems Inc and its officers, directors, employees, and affiliates from claims arising from:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Your misuse of the Services<\/li>\n\n\n\n<li>Violation of these Terms<\/li>\n\n\n\n<li>Violation of applicable law<\/li>\n\n\n\n<li>Regulatory action caused by your conduct<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h1 class=\"wp-block-heading\">14. Limitation of Liability<\/h1>\n\n\n\n<p>To the fullest extent permitted by law:<\/p>\n\n\n\n<p>AI Vault Systems Inc shall not be liable for:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Indirect, incidental, or consequential damages<\/li>\n\n\n\n<li>Loss of digital assets<\/li>\n\n\n\n<li>Loss of profits<\/li>\n\n\n\n<li>Network failures<\/li>\n\n\n\n<li>Third-party exchange losses<\/li>\n<\/ul>\n\n\n\n<p>Total liability shall not exceed the greater of:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>The amount paid by you in the prior 12 months, or<\/li>\n\n\n\n<li>$100 USD<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h1 class=\"wp-block-heading\">15. Arbitration &amp; Class Action Waiver<\/h1>\n\n\n\n<p>Any dispute arising from these Terms shall be resolved through binding arbitration in the State of Delaware, United States.<\/p>\n\n\n\n<p>You waive the right to:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Jury trial<\/li>\n\n\n\n<li>Class action lawsuits<\/li>\n\n\n\n<li>Collective proceedings<\/li>\n<\/ul>\n\n\n\n<p>If arbitration is unenforceable in your jurisdiction, disputes shall be resolved in Delaware courts.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h1 class=\"wp-block-heading\">16. Regulatory Cooperation<\/h1>\n\n\n\n<p>AI Vault Systems Inc reserves the right to:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Cooperate with regulatory authorities<\/li>\n\n\n\n<li>Provide information if legally required<\/li>\n\n\n\n<li>Restrict access to ensure compliance<\/li>\n<\/ul>\n\n\n\n<p>Users are responsible for their own tax reporting and regulatory obligations.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h1 class=\"wp-block-heading\">17. Termination<\/h1>\n\n\n\n<p>We may suspend or terminate access if:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Fraud is detected<\/li>\n\n\n\n<li>Regulatory risk arises<\/li>\n\n\n\n<li>Terms are violated<\/li>\n<\/ul>\n\n\n\n<p>Termination does not affect accrued rights or liabilities.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h1 class=\"wp-block-heading\">18. Modifications<\/h1>\n\n\n\n<p>We may update these Terms at any time.<\/p>\n\n\n\n<p>Continued use constitutes acceptance of revised Terms.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h1 class=\"wp-block-heading\">19.
