Jurisdictional Restrictions and Regulatory Status
VIRDATO (“VIRD” or “VDT”) is a utility token issued by AI Vault Systems Inc., a Delaware corporation, and made available in connection with its data infrastructure and digital services platform operated in the European Union, including Spain.
The Token is designed solely for access to platform functionality, digital services, and ecosystem utilities. It is not intended to constitute a financial instrument, transferable security, electronic money, or any other regulated financial product.
United States
VIRDATO has not been registered under the U.S. Securities Act of 1933, as amended, or under any U.S. state securities laws. The Token is offered solely as a consumptive utility token and is not offered as an investment contract.
The Token is not available to:
- U.S. persons where such offering would require registration,
- Residents of jurisdictions where its distribution would violate applicable securities or financial laws,
- Persons subject to U.S. sanctions.
Nothing in this documentation constitutes an offer to sell or a solicitation to buy securities in the United States.
European Union (MiCA Considerations)
Under Regulation (EU) 2023/1114 on Markets in Crypto-Assets (“MiCA”), VIRDATO is intended to qualify as a crypto-asset other than:
- Asset-Referenced Tokens (ARTs), and
- E-Money Tokens (EMTs).
VIRDATO does not:
- Reference any fiat currency,
- Represent a claim on the issuer,
- Provide entitlement to profit distribution,
- Grant governance rights equivalent to shareholders,
- Promise capital appreciation.
Where required under MiCA, AI Vault Inc. and/or its EU operating entity will comply with applicable notification, disclosure, and consumer protection requirements.
Prohibited Jurisdictions
The Token may not be acquired or used by individuals or entities located in jurisdictions where:
- Crypto-asset issuance is prohibited,
- Utility tokens are restricted,
- Licensing requirements are not met.
Users are solely responsible for determining whether acquisition and use of VIRDATO is lawful in their jurisdiction.
